Terms of Service
1. Acceptance of terms
By accessing or using the Ne-xio website at ne-xio.net ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a business or organisation, you represent that you have the authority to bind that entity to these Terms.
If you do not agree to these Terms, do not use the Service.
2. Description of service
Ne-xio operates the website at ne-xio.net, which describes Ne-xio's orchestration layer and the systems built on it — MPS, ServiceTracker 2, BakePix, Mail Platform, and Ne-xio AI — and provides a contact form for inquiries about those systems.
The Service is informational: it does not currently provide user accounts, subscriptions, or in-browser access to the underlying systems. Access to and use of any individual system is governed separately, under the terms agreed for that specific engagement.
The Service is provided "as is" and subject to the limitations described below. We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice.
3. Acceptable use
You agree not to use the Service to:
- Send unsolicited messages (spam) through the contact form or otherwise abuse it
- Harass, threaten, or abuse any individual
- Violate any applicable law or regulation, including data protection laws
- Attempt to reverse-engineer, decompile, or extract source code from the website
- Introduce malware, viruses, or other harmful code
- Circumvent any rate limits, access controls, or security measures
We reserve the right to investigate and take appropriate action — including blocking access — for violations of this section.
4. Data and privacy
Our collection and use of personal data submitted through this website is governed by our Privacy Policy, which is incorporated into these Terms by reference.
5. Commercial engagements
Ne-xio's systems are offered on a project- and system-scoped basis rather than as fixed public subscriptions (see Pricing). Where you engage Ne-xio for a specific system or project, the commercial terms, billing arrangement, and service levels for that engagement are set out separately and take precedence over this section for that engagement.
6. Intellectual property
The Ne-xio website, including its software, design, trademarks, and documentation, is owned by Ne-xio and protected by applicable intellectual property laws. These Terms do not grant you any rights to use our trademarks or branding.
7. Disclaimers and limitation of liability
The Service is provided "as is" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or uninterrupted availability.
To the maximum extent permitted by applicable law, Ne-xio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, loss of data, or loss of business opportunities, arising out of or in connection with your use of the Service.
Our total liability to you for any claim arising under these Terms shall not exceed the amount, if any, paid by you to Ne-xio for the Service in the three months preceding the claim.
8. Indemnification
You agree to indemnify and hold harmless Ne-xio and its affiliates from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service in violation of these Terms, your violation of any applicable law, or your infringement of any third-party rights.
9. Termination
You may stop using the Service at any time. We may restrict or terminate your access to the Service for violation of these Terms, or at our discretion with reasonable notice.
Termination of a specific commercial engagement (Section 5) is governed by that engagement's own agreement, not by this section.
10. Governing law and disputes
These Terms are governed by the laws of Romania. Any dispute arising from these Terms that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts of Romania.
Before initiating formal proceedings, both parties agree to attempt to resolve disputes in good faith through direct negotiation for a period of 30 days.
11. Changes to these terms
We may update these Terms from time to time. Changes will be posted on this page with an updated "Last updated" date. Continued use of the Service after that date constitutes acceptance of the updated Terms.
