Terms of Service
1. Acceptance of terms
By accessing or using the Nexio platform at ne-xio.net ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a business or organisation, you represent that you have the authority to bind that entity to these Terms.
If you do not agree to these Terms, do not use the Service.
2. Description of service
Nexio provides a unified messaging platform that connects Facebook Messenger, Instagram Direct Messages, and WhatsApp Business into a single dashboard. The Service includes:
- A web-based inbox for managing customer conversations across connected channels
- AI-powered order detection and message analysis
- Team collaboration tools including conversation assignment and internal notes
- Real-time message delivery via server-sent events
- OAuth-based channel connection to Meta's platforms
The Service is provided "as is" and subject to the limitations described below. We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice.
3. Accounts and access
To use the platform, you must authenticate via Facebook Login. You are responsible for:
- Maintaining the security of your account credentials
- All activity that occurs under your account
- Notifying us immediately of any unauthorised access at [email protected]
We may suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose a security risk.
4. Acceptable use
You agree not to use the Service to:
- Send unsolicited messages (spam) to any person
- Harass, threaten, or abuse any individual
- Violate any applicable law or regulation, including data protection laws
- Violate Meta's Platform Terms, WhatsApp Business Policy, or Instagram Platform Policy
- Attempt to reverse-engineer, decompile, or extract source code from the platform
- Use the platform to process messages for channels you do not own or have explicit authorisation to manage
- Introduce malware, viruses, or other harmful code
- Circumvent any rate limits, access controls, or security measures
We reserve the right to investigate and take appropriate action — including account suspension — for violations of this section.
5. Third-party platforms
The Service operates by connecting to Meta's APIs (Facebook Graph API, WhatsApp Business API, Instagram Graph API). Your use of these connected platforms is subject to Meta's own terms of service and policies, which are separate from these Terms.
Nexio is not responsible for changes Meta makes to its APIs, platforms, or policies that affect the functionality of our Service. If Meta restricts or removes access to an API, the corresponding features of our Service may become unavailable.
6. Data and privacy
Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.
You retain ownership of all customer message data processed through the Service. You grant Nexio a limited licence to process this data solely for the purpose of providing the Service (displaying messages in your dashboard, running AI analysis, and delivering real-time notifications).
You are responsible for ensuring your use of the Service complies with applicable data protection laws, including obtaining any necessary consents from your customers.
7. Subscription and payment
Paid plans are billed monthly or annually as selected at signup. All prices are shown excluding VAT. By providing payment information, you authorise us to charge the applicable fees on a recurring basis.
- You may cancel at any time; access continues until the end of the current billing period
- We do not offer refunds for partial billing periods
- We will provide at least 30 days' notice before any price increase
- Overdue accounts may be suspended after 14 days
8. Intellectual property
The Nexio platform, including its software, design, trademarks, and documentation, is owned by Nexio and protected by applicable intellectual property laws. These Terms do not grant you any rights to use our trademarks or branding.
You retain all intellectual property rights in the content you create and the customer data you process through the Service.
9. Disclaimers and limitation of liability
The Service is provided "as is" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or uninterrupted availability.
To the maximum extent permitted by applicable law, Nexio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, loss of data, or loss of business opportunities, arising out of or in connection with your use of the Service.
Our total liability to you for any claim arising under these Terms shall not exceed the amount you paid to us in the three months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless Nexio and its affiliates from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service in violation of these Terms, your violation of any applicable law, or your infringement of any third-party rights.
11. Termination
Either party may terminate these Terms at any time. You may do so by stopping use of the Service and cancelling your subscription. We may terminate your access for violation of these Terms, non-payment, or at our discretion with 30 days' written notice.
Upon termination, your data will be retained for 30 days, after which it will be permanently deleted. You may request an export of your data before this period expires by contacting [email protected].
12. Governing law and disputes
These Terms are governed by the laws of Romania. Any dispute arising from these Terms that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts of Romania.
Before initiating formal proceedings, both parties agree to attempt to resolve disputes in good faith through direct negotiation for a period of 30 days.
13. Changes to these terms
We may update these Terms from time to time. We will notify registered customers of material changes by email at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
